By creating an account, subscribing to, or using Waypoint (the "Service"), a self-serve route planning product operated by Agentic Alchemy LLC ("Agentic Alchemy," "we," "us," or "our") at routing.agentic-alchemy.tech, you ("Customer," "you") agree to be bound by these Terms of Service and Privacy Policy (together, the "Terms"). If you are entering into these Terms on behalf of a company, you represent that you have authority to bind that company.
These Terms apply specifically to Waypoint. They are separate from and do not apply to the Crucible platform or any custom agency engagement, which are governed by their own Terms of Service and Privacy Policy.
If you do not agree to these Terms, do not create an account or subscribe to the Service.
Waypoint is a self-serve, subscription-based route optimization tool. It provides multi-stop route planning and optimization, real-time weather- and traffic-aware routing, and a token-based web view that drivers can use to view assigned routes and mark stops complete, without needing a separate driver account.
Unlike Agentic Alchemy's Crucible platform, Waypoint is not custom-configured per client and is not governed by a Statement of Work — it is offered as a standard, tiered subscription available to any customer who signs up.
3.1 Plans — Waypoint is offered in tiers (Starter, Growth, Enterprise) as described on the Waypoint pricing page at the time of signup, each with defined usage limits. Enterprise-tier terms may be negotiated separately.
3.2 Payment Processing — All payments are processed by Stripe. Agentic Alchemy does not receive or store your full payment card number. By subscribing, you also agree to Stripe's terms of service applicable to the payment.
3.3 Billing Cycle — Subscriptions bill monthly in advance and automatically renew each billing period until canceled.
3.4 Cancellation — You may cancel at any time through the Stripe Customer Portal, accessible from your account. Cancellation takes effect at the end of the current billing period; no partial-period refunds are provided.
3.5 Usage Limits — Each plan tier includes defined usage limits (vehicles, stops per plan, and/or monthly optimization calls). Usage beyond these limits will be declined by the Service; upgrading requires contacting Agentic Alchemy.
3.6 Non-Payment — If a payment fails and is not resolved, your subscription status will lapse and access to route optimization features will be suspended until resolved. Your account and existing data are preserved during a lapse.
4.1 Account Information — Company name, email address, and password (stored in hashed form) provided at signup.
4.2 Billing Information — Subscription tier, billing status, and payment history, synced from Stripe. Full card details are held by Stripe, not by Agentic Alchemy.
4.3 Fleet and Route Data — Vehicle information, stop addresses, and route plans you input to generate optimized routes.
4.4 Third-Party Routing Data — Stop addresses and routing parameters are sent to: GeoApify (geocoding and route calculation), TomTom (real-time traffic data), and Visual Crossing (weather data). These providers process this data only as necessary to return routing results and are subject to their own privacy and security practices.
4.5 Driver Web View Data — Each optimized route plan generates a unique, unguessable link ("driver token") allowing anyone with the link to view that route and mark stops complete. No driver account, name, or login is required — Agentic Alchemy does not collect personal information about the individual using the link beyond stop-completion actions.
4.6 Usage and System Data — Basic account activity logs for operational monitoring, troubleshooting, and enforcement of plan usage limits.
We do not: sell, rent, or share your data with third parties for their own commercial purposes; use your data to train machine learning models or build aggregated datasets without your explicit written consent; or use your data for any purpose beyond operating the Service you subscribed to.
All fleet data, stop and route information, and business configuration you input into Waypoint remain your property. Agentic Alchemy retains all rights to the Waypoint platform itself.

You may request a data export or account deletion at any time by contacting [email protected]. After the 90-day post-cancellation window, remaining data is securely and permanently deleted.
Agentic Alchemy implements industry-standard technical safeguards, including encrypted data transmission (TLS), hashed password storage, and access controls limiting data access to authorized personnel. No method of transmission or storage is 100% secure. In the event of a data breach affecting your account, Agentic Alchemy will notify you promptly and take reasonable steps to mitigate harm.
Agentic Alchemy makes a demo account available for prospective customers to evaluate the Service. Demo accounts are not billed, are pre-loaded with sample data, and do not perform live route optimization calls. Demo accounts are provided "as is" for evaluation purposes only.
You agree to use Waypoint only for lawful business purposes. You may not reverse engineer or attempt to extract the source code of the Service, use it to process data for a party other than your own business without our prior written consent, attempt to circumvent plan usage limits, or interfere with the integrity or performance of the Service.
The Service is provided "as is" and "as available." Agentic Alchemy does not warrant that the Service will be error-free or uninterrupted, or that route, traffic, or weather data sourced from third-party providers (GeoApify, TomTom, Visual Crossing) will be accurate or complete. Agentic Alchemy is not responsible for errors, delays, or omissions in third-party-originated data.
In no event shall Agentic Alchemy be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to these Terms or use of the Service. Agentic Alchemy's total cumulative liability shall not exceed the total subscription fees paid by you in the twelve (12) months preceding the event giving rise to the claim.
You agree to indemnify, defend, and hold harmless Agentic Alchemy from claims, damages, or expenses arising from your use of the Service in violation of these Terms, your violation of applicable law, or data you input that infringes a third party's rights.
These Terms remain in effect for as long as you maintain an active Waypoint subscription or account. Either party may terminate per Section 3.4 or for uncured material breach after 30 days' written notice.
These Terms are governed by the laws of the State of Michigan. Disputes shall first be subject to good-faith negotiation; if unresolved within 30 days, disputes shall be submitted to binding arbitration in Michigan under the rules of the American Arbitration Association.
Agentic Alchemy may update these Terms from time to time. Customers will be notified of material changes at least 30 days in advance via the email address on file.
Contact [email protected] to access, correct, export, or request deletion of your data. We will respond within 30 days.
These Terms constitute the entire agreement between you and Agentic Alchemy with respect to Waypoint. Enterprise-tier customers with a separately negotiated written agreement are governed by that agreement to the extent it conflicts with these Terms.
